These Terms of Service (the “Terms”) govern access to and use of the mobile applications, websites, programs, courses, events, digital products, and related services provided by SORCE and its affiliates (“SORCE,” “we,” “us,” or “our”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.
Acceptance of Terms
Use of the Services constitutes acceptance of these Terms. Where additional program-specific terms apply, those terms will supplement and control in the event of conflict.
Modifications
SORCE may modify these Terms at any time. The revised Terms will be posted with an updated effective date. Continued use of the Services constitutes acceptance of the modified Terms.
Nature of Services
The Services provide educational programming, informational content, assessments, and leadership development resources informed by biofeedback tools. The Services are not medical, therapeutic, psychological, or diagnostic care and do not replace consultation with qualified healthcare or mental health professionals.
Eligibility and Account Registration
Users must be the age of majority in their jurisdiction. Certain features require creation of an account. Users shall provide accurate, current, and complete information and are responsible for maintaining account confidentiality and all activity under their account. Unauthorized account sharing, impersonation, or fraudulent registration is prohibited.
User Conduct
Users shall not:
(a) violate any law or regulation;
(b) interfere with or disrupt the Services;
(c) copy, record, scrape, reproduce, reverse engineer, distribute, or create derivative works from the Services or content;
(d) attempt to identify or re-identify anonymized data;
(e) misrepresent affiliation with any person or organization;
(f) use the Services to compete with SORCE or to build a competing product;
(g) disclose confidential program content or personal participant information.
SORCE may suspend or terminate accounts for violations.
Data Collection and Use
SORCE collects and processes personal information to operate, improve, secure, and support the Services, and to create anonymous aggregated data. Data practices are governed by the Privacy Policy. Use of the Services constitutes consent to lawful data processing as described therein.
Intellectual Property
The Services, including all content, software, materials, frameworks, exercises, assessments, guides, videos, recordings, documents, logos, trademarks, and proprietary methodologies, are owned or licensed by SORCE and are protected by intellectual property laws. Users receive a limited, non-transferable, revocable license for personal, non-commercial use. No copying, distribution, modification, publishing, or derivative use is permitted without prior written consent.
Program Materials and Confidentiality
Program materials, curriculum, group discussions, and participant contributions are confidential. Recording, screenshotting, rebroadcasting, or distributing program sessions, communities, or materials is prohibited. SORCE may remove individuals who violate confidentiality or community standards without refund.
Copyright Complaints
SORCE complies with the Digital Millennium Copyright Act. Notices of alleged infringement shall be directed to:

Feedback
Suggestions, ideas, and feedback provided to SORCE may be used without restriction or compensation. Users hereby grant SORCE a perpetual, irrevocable, royalty-free license to use such feedback.
Wellness and Medical Disclaimer
The Services do not diagnose, treat, prevent, or cure any medical or psychological condition. No physician-patient or therapist-client relationship is created. Users remain solely responsible for seeking appropriate professional advice and emergency care. In emergencies, users must call 911 or local emergency services.
Psychological and Emotional Risk Acknowledgment
Programs may involve reflection on stress, leadership behavior, emotions, and personal experiences. Users acknowledge potential emotional discomfort and agree to participate voluntarily and at their own pace. Users remain responsible for their mental health decisions and release SORCE from claims relating to emotional or psychological response arising from participation.
No Guarantee of Outcomes
SORCE does not guarantee specific results, improvements, or performance outcomes. Results vary depending on individual participation and factors outside SORCE’s control.
Program Purchases, Refunds, and Credits
Enrollment in The Practice and other live programs reserves a limited participant seat. All payments for The Practice, leadership cohorts, workshops, trainings, memberships, and live educational programs are non-refundable.
In limited circumstances and at SORCE’s sole discretion, SORCE may approve:
(a) a credit toward a future eligible offering, or
(b) a transfer of enrollment to another approved participant.
Credits are discretionary, not guaranteed, non-transferable, and expire one year from issuance. Failure to attend, scheduling conflicts, or personal circumstances do not entitle a refund.
Digital Products
Digital products are delivered upon purchase and are non-refundable. Users may not share or distribute purchased files.
Program Changes and Rescheduling
SORCE may adjust facilitators, content, schedules, and delivery formats as needed. Rescheduling or modification does not entitle users to a refund.
Force Majeure
SORCE shall not be liable for delays or changes arising from events beyond reasonable control, including illness, outages, pandemics, natural disasters, governmental actions, or similar circumstances. SORCE may reschedule or modify services as reasonably necessary.
Chargeback Policy
Users acknowledge the no-refund policy. Filing a chargeback inconsistent with these Terms constitutes a breach and may result in collection actions, administrative fees, or legal recovery of associated costs.
Employer Sponsorship
Where an employer sponsors participation, SORCE is not responsible for employment decisions, evaluations, disciplinary matters, compensation, or workplace disputes. Employment matters remain exclusively between the participant and employer.
Disclaimers and Limitation of Liability
The Services are provided “as is” without warranties of any kind. To the maximum extent permitted by law, SORCE disclaims all implied warranties, including merchantability, fitness for purpose, accuracy, and non-infringement.
To the fullest extent permitted by law, SORCE shall not be liable for indirect, incidental, consequential, exemplary, punitive, or special damages, including lost revenue, lost profits, data loss, emotional distress, or business interruption. In any event, SORCE’s total liability shall not exceed the amount actually paid by the user for the specific program or service at issue.
Indemnification
Users agree to indemnify and hold harmless SORCE, its officers, employees, agents, and affiliates from any claims, losses, damages, or expenses arising from user conduct, misuse of the Services, or violation of these Terms.
Termination
SORCE may suspend or terminate access at any time for violation of these Terms, unlawful conduct, or protection of the platform and community. Provisions intended to survive termination shall remain enforceable.
Governing Law
These Terms shall be governed by the laws of the State of California, without reference to conflict-of-law principles.
Arbitration and Class Action Waiver
Any dispute arising out of these Terms shall be resolved by binding arbitration before the American Arbitration Association in Santa Monica, California. Users waive the right to litigate in court or participate in class actions. Either party may seek injunctive relief relating to intellectual property violations.
Entire Agreement
These Terms constitute the entire agreement between the parties and supersede all prior communications regarding the Services.
Severability and Waiver
If any provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce any provision shall not constitute waiver of future enforcement.
